VOTES
20. Any member who has not paid every subscription and other sum (if any) which will be due and payable to the Register in respect of his or her membership will not be entitled to vote on any question or by proxy or as a proxy for another member at any General Meeting.

21. At any General Meeting a resolution put to the meeting will be decided on a show of hands unless a poll is demanded by the Chairperson or by at least five members present in person or by proxy and unless a poll is so demanded a declaration by the Chairperson that a resolution has on a show of hands been carried or lost or carried or not carried by a particular majority and an entry to that effect in the Minute Book will be conclusive evidence of the fact without proof of the number or proportion of votes recorded in favour of or against the resolution.

22. If a poll is demanded in this manner it will take place after fourteen days and the result of the poll will be deemed to be the resolution of the meeting. The question of adjournment will be taken at the meeting forthwith without further adjournment.

23. In case of an equality of votes whether on a show of hands or on a poll the
Chairperson of the meeting at which the show of hands takes place or at which the poll is demanded will be entitled to a casting vote.

24. On a show of hands every member present in person and on a poll every member present in person or by proxy will have one vote.

25. On a poll votes may be given in person or by proxy. No person will be appointed to a proxy who is not himself a member of the Register. The instrument appointing a proxy shall be in the following form, or as near thereto as circumstances willadmit:


"The Irish Register of Chinese Herbal Medicine."

The instrument appointing a proxy will be delivered to the Secretary not less than forty eight hours before the time appointed for holding the meeting or adjourned meeting at which the person named as proxy in such instrument of proxy will not be treated as valid. The instrument appointing a proxy will be deemed to confer authority to demand or loin in demanding a poll.
